This website is operated by Finatics, LLC (herein after "Finatics"). By accessing or using Finatics's websites pages, features, information, content, applications and services contained therein from time to time (collectively herein after the "Service" or “Website”) you signify that you have read, understand and agree to be bound by these Terms of Use ("Terms of Use" or "Agreement") and any other applicable law, whether or not you are a registered member of Finatics. All the materials included on the Website, including but not limited to trademarks, text, graphics, logos and service marks (collectively, the "Content"), are the property of Finatics and other parties. Finatics may change these Terms of Use at any time without notice, effective upon its posting to the Website. You agree to review these Terms of Use regularly to make yourself aware of any changes. Each time you use the Service, you acknowledge that you have read and agree to be bound by all terms of the Agreement.

USE OF SERVICES AND MATERIALS

If you comply with the terms and conditions of this Agreement, Finatics grants to you a non-exclusive, non-transferable, revocable right to access and use the Services and to make available User Generated Content to the Service in connection with the Services, subject to the following conditions:

(a) You may not alter, copy, modify, or re-transmit the Content without Finatics’s express consent;

(b) You may not lease, license, rent, or sell the Content or the right to use and access the Services;

(c) You may not remove, obscure, or alter any text, copyright, or other proprietary notices contained in the Content; and

(d) You may not copy or imitate part or all of the design, layout, or look-and-feel of the Service, which are protected by Intellectual Property Rights.

You agree to use the Services and the Content only as permitted by the Terms and any Law.

You acknowledge and agree that certain Services and Content may be available only if you have paid a fee or have provided certain Registration Data.

Finatics uses reasonable efforts to make the Services available 24 hours a day, 7 days a week. However, there will be occasions when the Service will be interrupted for maintenance, upgrades and repairs, or as a result of failure of telecommunications links and equipment that are beyond our control. Finatics will take reasonable steps to minimize such disruption, to the extent it is within our reasonable control.  Certain Services may not be available in all languages.

Finatics may modify or discontinue, temporarily or permanently, the Services or Content, or any portion thereof, with or without notice. You agree that Finatics shall not be liable to you or anyone else if we do so.

PLAGIARISM AND COMMERCIAL USE PROHIBITED

You agree not to misuse our Website to plagiarize or represent the work of others as your own. You may not make any commercial use of this Website, including charging others for access or selling collections of material gathered from our site. You are not permitted to copy any portion of our site for distribution to others other than in the normal course of your personal or academic research.

Finatics may provide links to external websites for your convenience and reference only. Finatics does not endorse and is not responsible for the availability of these external websites or resources or for any content, advertising, products, or other materials on or available from such external websites or resources. Your use of and dealings with the owners or operators of these external websites or resources are at your own risk. You cannot make any claim against Finatics or its service providers arising out of your use of external websites or resources. Finatics makes no guarantee for the accuracy of data or documents from third party websites. This data may change with no notice to Finatics or end users. The ability to access specific data from any third party website could be unavailable at times.

OWNERSHIP

All of the materials included on the Website, including but not limited to trademarks, text, graphics, logos and service marks (collectively, the "Content"), are the property of Finatics and other parties. U.S. and international copyright and trademark law protects all Content available on the Website. Your use of the Website and the Content does not transfer to you any ownership or other rights in the Website or the Content. You may download Content displayed on the Website for your personal, noncommercial use only, provided you also retain all copyright and other proprietary notices contained on the Content. You may not modify, copy, distribute, transmit, display, publish, sell, license, or create derivative works using any of the Content for commercial or public purposes.  Signing up in any capacity to use the Service in no way transfers any ownership rights or interests in, or grants any licenses to, the Website, Services or Finatics.

USER SUBMISSIONS AND USER CONTENT

You agree that you will not upload or transmit any remarks, suggestions, messages (including without limitation to other Members) ideas, photographs, graphics, information, data, text, files, links, software, or other materials (“User Generated Content”) that: (i) infringe any patent, trademark, trade secret, copyright or other proprietary rights of any party, (ii) are patently offensive or promote racism, bigotry, hatred or physical harm of any kind against any group or individual, (iii) harass or advocate harassment of another person, (iv) exploit people in a sexual or violent manner, (v) contain nudity, violence, or offensive subject matter or contain a link to an adult website, (vi) solicit personal information from anyone under 18, (vii) provide any telephone numbers, street addresses, last names, URLs or email addresses, (viii) promote information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous, (ix) promote any illegal or unauthorized copy of another person's copyrighted work, (x) involve the transmission of “junk mail,” “chain letters,” or unsolicited mass mailing, instant messaging, “spimming,” or “spamming”, (xi) contain restricted or password only access pages or hidden pages or images, (xii) further or promote any criminal activity or enterprise or provide instructional information about illegal activities, (xiii) solicit passwords or personally identifiable information for commercial or unlawful purposes from other Users, (xiv) include a photograph of another person that you have posted without that person's consent.

Finatics does not guarantee to prescreen User Generated Content. Finatics does not guarantee the Website will be free from User Generated Content that is inaccurate, deceptive, offensive, threatening, defamatory, unlawful or otherwise objectionable. Finatics is merely acting as a passive channel for such distribution and is not undertaking any obligation or liability relating to any User Generated Content or activities of users on the Website. Even in the event Finatics chooses to monitor any User Generated Content, Finatics assumes no responsibility for, or any obligation to monitor or remove, such User Generated Content. Finatics reserves the right to edit, remove, or refuse to post any User Generated Content or terminate your registered account for any reason.

By posting or distributing Content to or through the Website, unless we indicate otherwise, you (a) grant Finatics and its affiliates an unrestricted, non-exclusive, royalty-free, perpetual, transferable, irrevocable and fully sub-licensable right to use, copy, publicly perform and display, create derivative works of, and distribute such User Content throughout the world in any media, now known or hereafter devised; and (b) represent and warrant that (i) you own and control all of the rights to the User Content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute such User Content to or through the Website; (ii) such User Content is accurate and not misleading; and (iii) use and posting or other transmission of such User Content does not violate this Agreement and will not violate any rights of or cause injury to any person or entity.

You acknowledge that you are responsible for whatever Content you submit, and you, not Finatics, shall have full responsibility for the Content, including its legality, reliability, appropriateness, originality, and non-interference with third-party rights.

User Content will be considered non-confidential and Finatics is under no obligation to treat such User Content as proprietary information. Without limiting the foregoing, Finatics reserves the right to use the User Content as it deems appropriate, including, without limitation, deleting, editing, modifying, rejecting, or refusing to post it. Finatics is under no obligation to offer you any payment for User Content that you submit or the opportunity to edit, delete or otherwise modify User Content once it has been submitted to Finatics. Finatics shall have no duty to attribute authorship of User Content to you, and shall not be obligated to enforce any form of attribution by third parties.

PRODUCT ORDERS

Finatics reserves the right to change the descriptions, specifications, and prices of the products offered on the Website without notice and at any time. Finatics does not warrant that such descriptions, specifications and prices of such products are accurate, complete or current at all times. Such products may not be available for delivery to your country of residence.

All orders placed through the Website are subject to Finatics’s acceptance. This means that Finatics may refuse to accept or may cancel any order, whether or not the order has been confirmed, for any or no reason, and without liability to you or anyone else. If your credit card has already been charged for an order that is later cancelled or rejected by Finatics, Finatics will issue you a refund.  

VALIDATING YOUR ORDER

After you place an order using our shopping cart, we will check the information you give us for validity, by verifying your method of payment and/or shipping address. We reserve the right to reject any order you place with us and/or limit quantities on any order, without giving a reason. If we reject your order, we will attempt to notify you using the email address you have provided with the order. Generally, your credit/debit card will not be charged if we reject an order; however, we will process a refund if a charge has been made against your card.

ORDER ACCEPTANCE/CONFIRMATION

Your receipt of an electronic or other form of order confirmation from us does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Finatics reserves the right at any time after receipt of your order to accept or decline your order for any reason.

CANCELLING ORDER BEFORE DELIVERY

You may cancel any order free of charge and without giving us any reason, unless it is marked final sale, provided it has not yet been shipped. We begin processing orders placed at our online store almost immediately.

Customized orders cannot be cancelled before shipment, because we start building the customized products immediately after receiving the order. You are however entitled to return your order in accordance with the return procedures and conditions below.

RETURNING ORDERS AFTER DELIVERY – DEFECTIVE PRODUCTS

You are entitled to return products delivered to you in the event that they are defective or otherwise not in conformity with your order when you received them. This does not affect your statutory rights. In the event your claim is justified, the purchase price will be refunded.

REFUND INFORMATION

Refunds will be issued based on the original form of payment.

ORDER LIMITATIONS/LIMITED QUANTITIES

Finatics may, at is sole discretion, limit or cancel quantities purchased per person, per household, or per order. Restrictions may include orders placed by the same Site account, the same credit/debit card, and orders that use the same billing and/or shipping address. In the event we make a change to your order, we will attempt to notify you by the email and/or billing address provided with your order. Finatics reserves the right to limit or prohibit sales to dealers.

SHIPPING

All orders placed on this Site are subject to product availability and will be shipped according to our Site shipping terms. In the rare event that your order never arrives, we must receive notification of lost items via email and/or phone (as provided in our shipping terms) within sixty (60) days of receipt of the shipping confirmation email.

MOBILE TERMS OF SERVICE

The FINATICS mobile message service (the "Service") is operated by FINATICS LLC (“FINATICS”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to FINATICS’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of FINATICS through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with FINATICS. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to FINATICS or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other FINATICS mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

INDEMNIFICATION

You acknowledge that you will be solely and fully responsible for all liabilities incurred through the use of the Services. To the maximum extent permitted by applicable law, you agree to hold harmless and indemnify Finaticsand its employees, officers, agents, or other partners from and against any third party claim arising from or in any way related to your use of the Services, including any liability or expense arising from all claims, losses, damages (actual and/or consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature including but not limited to any liability arising from or resulting by your data imputed into Finaticsincluding infringement of intellectual property laws or civil or criminal claims. Finaticsshall use good faith efforts to provide you with written notice of such claim, suit or action. In addition, you expressly waive and relinquish any and all rights and benefits which you may have under any other state or federal statute or common law principle of similar effect, to the fullest extent permitted by law.

RELEASE 

YOU HEREBY RELEASE, REMISE AND FOREVER DISCHARGE FINATICS AND ITS SERVICE PROVIDERS AND EACH OF THEIR RESPECTIVE AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, INFORMATION PROVIDERS, SERVICE PROVIDERS, SUPPLIERS, LICENSORS AND LICENSEES, AND ALL OTHER RELATED, ASSOCIATED, OR CONNECTED PERSONS FROM ANY AND ALL MANNER OF RIGHTS, CLAIMS, COMPLAINTS, DEMANDS, CAUSES OF ACTION, PROCEEDINGS, LIABILITIES, OBLIGATIONS, LEGAL FEES, COSTS, AND DISBURSEMENTS OF ANY NATURE AND KIND WHATSOEVER AND HOWSOEVER ARISING, WHETHER KNOWN OR UNKNOWN, WHICH NOW OR HEREAFTER EXIST, WHICH ARISE FROM, RELATE TO, OR ARE CONNECTED WITH YOUR USE OF THE SERVICE.
